Terms and Conditions of Sale
1. The Contract
1.1. These terms apply to all goods supplied by [Your Business Name] (“the Supplier”).
1.2. No contract exists between you and the Supplier until we have received and accepted your order and sent you a confirmation email.
1.3. We reserve the right to cancel any order if goods are unavailable or if there is an error in pricing/description.
2. Perishable vs. Non-Perishable Goods
2.1. Perishable Goods: Prepared agar plates are classified as "liable to deteriorate or expire rapidly."
2.2. Non-Perishable Goods: Agar powder, flasks, and dry consumables are classified as standard laboratory supplies.
3. Delivery and Risk
3.1. Delivery dates are estimates only. Time is not "of the essence" for delivery.
3.2. Risk: Risk of damage or loss passes to you upon delivery.
3.3. Storage: It is your responsibility to ensure agar plates are stored correctly (e.g., refrigerated at 2-8°C) immediately upon receipt. We are not liable for spoilage caused by improper storage after delivery.
4. Cancellation Rights
4.1. Non-Perishable Goods: You have the legal right to cancel your order within 14 daysof receipt for any reason. Goods must be returned in original, unopened packaging at your expense.
4.2. Perishable Goods (Agar Plates): In accordance with the Consumer Contracts Regulations 2013, there is no right to cancel or return agar plates for a refund once the order has been processed/dispatched, unless the goods are faulty.
5. Faulty Goods and Returns
5.1. Inspection: You must inspect all goods immediately upon delivery.
5.2. Reporting: Any damage, shortages, or quality issues (e.g., contamination) must be reported to us in writing within 48 hours of delivery.
5.3. Remedy: If goods are proven faulty at the time of delivery, we will offer a replacement or a full refund. For agar plates, our liability is limited to the cost of the plates and does not cover the cost of lost research or experimental data.
6. Health, Safety, and Liability
6.1. Our products are for laboratory and professional use only. They are not for human consumption or medical diagnosis unless explicitly stated.
6.2. You are responsible for the safe handling and disposal of all materials (e.g., autoclaving used plates) in accordance with UK Health and Safety regulations.
6.3. To the extent permitted by law, our total liability for any claim shall not exceed the price paid for the goods.
7. Governing Law
7.1. These terms are governed by the laws of England and Wales (or Scotland/NI if applicable), and any disputes will be subject to the exclusive jurisdiction of the courts of that territory.
